Terms and Conditions

1. Agreement and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and ES Dot Net Enterprise ("we", "us", "our") governing your access to and use of UntungLah, including the web application at untunglah.com.my and any associated services (collectively, the "Service").

By accessing the Service, completing registration, or clicking "I Agree" at any point, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must cease using the Service immediately.

2. About UntungLah and ES Dot Net Enterprise

UntungLah is a cloud-based accounting and bookkeeping tool designed specifically for Malaysian sole proprietors registered with the Suruhanjaya Syarikat Malaysia (SSM). The Service is owned and operated by:

3. Eligibility

To use UntungLah, you must:

• Be at least 18 years of age;
• Be a Malaysian citizen or Permanent Resident;
• Be registered as a sole proprietor with SSM, or be acting on behalf of a registered sole proprietor;
• Provide accurate SSM registration details during sign-up; and
• Have a valid Google account for authentication purposes.

We reserve the right to refuse access or terminate accounts where eligibility requirements are not met or where information provided is found to be false, misleading, or inaccurate.

4. Account Registration

You must register an account to access the Service. You agree to:

• Provide accurate, complete, and current registration information including your full name, SSM registration number, company name, and contact details;
• Maintain the security of your Google account used to access the Service;
• Notify us immediately at hello@untunglah.com.my if you suspect unauthorised access to your account;
• Accept full responsibility for all activities conducted through your account.

One account is permitted per SSM-registered business. Creating duplicate accounts is prohibited. We reserve the right to merge or terminate duplicate accounts without prior notice.

5. Credits System and Payment

5.1 Free Monthly Credits

Every registered account receives 50 free credits at the beginning of each calendar month. New accounts receive a one-time bonus of 20 credits upon registration. The free monthly credit allowance resets at the beginning of each calendar month. Any unused portion is replaced by the new monthly allowance — credits are not accumulated month-to-month.

5.2 Credit Costs

The following AI-powered features consume credits upon successful completion:

• AI Receipt Scanning — 5 credits per scan
• AI PDF/Photo Import — 8 credits per import
• CSV/Excel Import — 2 credits per import
• Invoice PDF Download — 3 credits per download
• Borang B Tax Summary — 20 credits per generation

Credits are deducted only upon successful completion of the relevant action. Dashboard, P&L reports, and standard transaction recording are always free and do not consume credits. We reserve the right to adjust credit costs at any time with reasonable notice via the application.

5.3 Purchasing Credits

Additional credits may be purchased via manual bank transfer to Hong Leong Bank account number 07100070713 in the name of ES Dot Net Enterprise. Available credit packages and prices are displayed within the application and may change from time to time.

All payments must include the unique reference code generated by the application. Credits will be added to your account within one (1) business day after payment is verified by us. All prices are in Malaysian Ringgit (MYR) and are inclusive of any applicable taxes.

5.4 Purchased Credits

Purchased credits (excluding free monthly credits) do not expire and remain valid for the lifetime of your account, provided your account remains in good standing. Credits are non-transferable between accounts.

6. Refund Policy

All credit purchases are non-refundable once payment has been verified and credits have been added to your account. We encourage you to make use of your free monthly credits to evaluate the Service before making a purchase.

Where credits have been incorrectly charged due to a technical error on our part, please contact us within 14 days at support@untunglah.com.my with details of the error. We will investigate and, where an error is confirmed, restore the credits to your account.

7. AI Features and Accuracy Disclaimer

You acknowledge and agree that:

• AI-extracted data may contain errors, omissions, or misinterpretations;
• You are solely responsible for verifying all AI-generated data before saving it as part of your financial records;
• We make no warranty, express or implied, as to the accuracy, completeness, or fitness for purpose of any AI-generated output;
• Credits consumed for AI features are non-refundable regardless of the quality of the AI output.

8. Tax and Financial Information Disclaimer

Specifically:

• The Borang B pre-fill summary is generated for reference purposes only and is not a valid or completed tax return submission to Lembaga Hasil Dalam Negeri Malaysia (LHDN);
• Tax computations, including estimated chargeable income and estimated tax payable, are based on the data you have entered and may not reflect your actual tax liability;
• We do not represent or warrant that the information provided reflects the views or positions of LHDN, the Inland Revenue Board of Malaysia, or any other governmental or regulatory authority;
• You are strongly advised to engage a qualified tax agent or accountant registered with the Malaysian Institute of Accountants (MIA) to review your tax position before filing;
• We shall not be liable for any penalties, surcharges, interest, or other consequences arising from errors in tax submissions based on data generated by the Service.

9. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to record, process, or facilitate transactions that are fraudulent, illegal, or in violation of any applicable Malaysian law;
• Attempt to reverse engineer, copy, modify, or create derivative works of the Service;
• Use automated scripts, bots, or other means to access the Service in a manner that places unreasonable load on our infrastructure;
• Share your account credentials with any other person or allow multiple individuals to access the Service under a single account;
• Upload or transmit content that is defamatory, obscene, or in violation of any third-party intellectual property rights;
• Attempt to gain unauthorised access to other users' data or any part of the Service's infrastructure;
• Use the Service in any manner that could damage, disable, or impair the Service or interfere with other users' use of the Service.

Breach of this clause may result in immediate account suspension or termination without refund of any remaining credits.

10. Intellectual Property

The Service, including its software, design, branding, text, graphics, and AI prompts (excluding your personal data and business data), is owned by ES Dot Net Enterprise and is protected under Malaysian intellectual property law.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal business purposes in accordance with these Terms. This licence does not include the right to sublicense, sell, resell, reproduce, or commercially exploit any part of the Service.

The UntungLah name, logo, and associated branding are the property of ES Dot Net Enterprise. Nothing in these Terms grants you any right to use our trademarks or branding without our prior written consent.

11. Data Ownership and User Content

Your business data — including transactions, invoices, customer records, and uploaded documents — remains your property at all times. We do not claim ownership over your business data.

By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the Service to you. This licence terminates when you delete your account or request deletion of your data.

We strongly recommend that you regularly export your data using the available export functions within the Service. We perform routine data backups, but we cannot guarantee data recovery in all circumstances. You are advised to maintain independent backups of your financial records as required under Malaysian law.

Under Section 82 of the Income Tax Act 1967, sole proprietors are required to retain business records for a minimum of seven (7) years. You are solely responsible for ensuring compliance with this and any other applicable record-keeping requirements.

12. Service Availability and Limitations

We will use reasonable endeavours to maintain the availability of the Service. However, we do not guarantee uninterrupted access. Downtime may occur due to:

• Scheduled maintenance (we will endeavour to provide advance notice where possible);
• Unscheduled technical issues;
• Force majeure events including natural disasters, civil unrest, or acts of government;
• Failures in third-party infrastructure including Google Firebase, Google Gemini AI, or internet service providers;
• Circumstances beyond our reasonable control.

We shall not be liable for any loss, cost, or damage arising from service unavailability.

13. Limitation of Liability

To the maximum extent permitted by Malaysian law:

• The Service is provided on an "as is" and "as available" basis without warranty of any kind, express or implied;
• We expressly disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement;
• Our total liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total amount of credits purchased by you in the twelve (12) months preceding the claim;
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or costs of substitute services;
• We shall not be liable for any loss or damage arising from your reliance on the accuracy of AI-generated data, tax computations, or financial reports generated by the Service.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at hello@untunglah.com.my. Upon termination, your account and all associated data will be scheduled for deletion within 30 days. Unused purchased credits are non-refundable upon voluntary termination.

14.2 Termination by Us

We may suspend or terminate your account immediately and without notice if:

• You breach any provision of these Terms;
• We are required to do so by law or a regulatory authority;
• We reasonably believe your account is being used for fraudulent or illegal activity; or
• You have not accessed the Service for a continuous period of 24 months.

Upon termination, your right to access the Service ceases immediately. We will endeavour to provide you with an opportunity to export your data prior to deletion, except where prohibited by law or where immediate termination is required.

14.3 Discontinuation of Service

We reserve the right to discontinue the Service at any time. In such event, we will provide at least 60 days' written notice to your registered email address and will make your data available for export during that period.

15. Amendments

We may amend these Terms at any time. Material changes will be notified to you via your registered email address or via a notice displayed within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any amendment constitutes your acceptance of the updated Terms.

If you do not agree to an amendment, you must stop using the Service before the amendment takes effect and contact us to request deletion of your account.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating formal proceedings, you agree to first contact us at support@untunglah.com.my to attempt to resolve the dispute informally within 30 days.
