1. Agreement and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and ES Dot Net Enterprise ("we", "us", "our") governing your access to and use of UntungLah, including the web application at untunglah.com.my and any associated services (collectively, the "Service").

By accessing the Service, completing registration, or clicking "I Agree" at any point, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must cease using the Service immediately.

Important: If you are registering on behalf of a business entity, you warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to that entity.

UntungLah is a cloud-based accounting and bookkeeping tool designed specifically for Malaysian sole proprietors registered with the Suruhanjaya Syarikat Malaysia (SSM). The Service is owned and operated by:

4. Account Registration

You must register an account to access the Service. You agree to:

One account is permitted per SSM-registered business. Creating duplicate accounts is prohibited. We reserve the right to merge or terminate duplicate accounts without prior notice.

5. Credits System and Payment

5.1 Free Monthly Credits

Every registered account receives 50 free credits at the beginning of each calendar month. New accounts receive a one-time bonus of 20 credits upon registration. The free monthly credit allowance resets at the beginning of each calendar month. Any unused portion is replaced by the new monthly allowance — credits are not accumulated month-to-month.

5.2 Credit Costs

The following AI-powered features consume credits upon successful completion:

Credits are deducted only upon successful completion of the relevant action. Dashboard, P&L reports, and standard transaction recording are always free and do not consume credits. We reserve the right to adjust credit costs at any time with reasonable notice via the application.

5.3 Purchasing Credits

Additional credits may be purchased via manual bank transfer to Hong Leong Bank account number 07100070713 in the name of ES Dot Net Enterprise. Available credit packages and prices are displayed within the application and may change from time to time.

All payments must include the unique reference code generated by the application. Credits will be added to your account within one (1) business day after payment is verified by us. All prices are in Malaysian Ringgit (MYR) and are inclusive of any applicable taxes.

5.4 Purchased Credits

Purchased credits (excluding free monthly credits) do not expire and remain valid for the lifetime of your account, provided your account remains in good standing. Credits are non-transferable between accounts.

6. Refund Policy

All credit purchases are non-refundable once payment has been verified and credits have been added to your account. We encourage you to make use of your free monthly credits to evaluate the Service before making a purchase.

Where credits have been incorrectly charged due to a technical error on our part, please contact us within 14 days at support@untunglah.com.my with details of the error. We will investigate and, where an error is confirmed, restore the credits to your account.

7. AI Features and Accuracy Disclaimer

Important — Please Read: UntungLah uses AI (Google Gemini) to extract and interpret data from receipts, invoices, POS reports, and other documents. AI-extracted data is provided as a convenience tool to assist with data entry and must not be relied upon as accurate without independent verification.

This is not professional tax or financial advice. UntungLah, including the Borang B Tax Summary feature, is a bookkeeping and record-keeping tool designed to assist users in organising their financial data. It does not constitute, and should not be relied upon as, tax advice, financial advice, legal advice, or any other form of professional advice.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

10. Intellectual Property

The Service, including its software, design, branding, text, graphics, and AI prompts (excluding your personal data and business data), is owned by ES Dot Net Enterprise and is protected under Malaysian intellectual property law.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal business purposes in accordance with these Terms. This licence does not include the right to sublicense, sell, resell, reproduce, or commercially exploit any part of the Service.

The UntungLah name, logo, and associated branding are the property of ES Dot Net Enterprise. Nothing in these Terms grants you any right to use our trademarks or branding without our prior written consent.

11. Data Ownership and User Content

Your business data — including transactions, invoices, customer records, and uploaded documents — remains your property at all times. We do not claim ownership over your business data.

By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the Service to you. This licence terminates when you delete your account or request deletion of your data.

We strongly recommend that you regularly export your data using the available export functions within the Service. We perform routine data backups, but we cannot guarantee data recovery in all circumstances. You are advised to maintain independent backups of your financial records as required under Malaysian law.

Under Section 82 of the Income Tax Act 1967, sole proprietors are required to retain business records for a minimum of seven (7) years. You are solely responsible for ensuring compliance with this and any other applicable record-keeping requirements.

12. Service Availability and Limitations

We will use reasonable endeavours to maintain the availability of the Service. However, we do not guarantee uninterrupted access. Downtime may occur due to:

13. Limitation of Liability

To the maximum extent permitted by Malaysian law:

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at hello@untunglah.com.my. Upon termination, your account and all associated data will be scheduled for deletion within 30 days. Unused purchased credits are non-refundable upon voluntary termination.

14.2 Termination by Us

We may suspend or terminate your account immediately and without notice if:

Upon termination, your right to access the Service ceases immediately. We will endeavour to provide you with an opportunity to export your data prior to deletion, except where prohibited by law or where immediate termination is required.

14.3 Discontinuation of Service

We reserve the right to discontinue the Service at any time. In such event, we will provide at least 60 days' written notice to your registered email address and will make your data available for export during that period.

15. Amendments

We may amend these Terms at any time. Material changes will be notified to you via your registered email address or via a notice displayed within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any amendment constitutes your acceptance of the updated Terms.

If you do not agree to an amendment, you must stop using the Service before the amendment takes effect and contact us to request deletion of your account.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating formal proceedings, you agree to first contact us at support@untunglah.com.my to attempt to resolve the dispute informally within 30 days.
